Which documents are required to verify a Luno Business account?

When opening a business account with Luno, you’ll need to submit some documents for verification. However, the specific requirements and documents needed vary depending on the type of business entity you operate and the country it's registered in.

South Africa

  1. A detailed overview of the nature of the business you're applying for with specific reference to the nature of the activity conducted by the business in order to generate revenue.

  2. If the business’s operating address is different from its registered address, confirm the operating address of the business.

  3. A resolution signed by the director(s) naming an individual person(s) and giving said person(s) authority to act on behalf of the business and operate the Luno account (the Authorised Official(s)). Kindly note that the resolution should adhere to the following requirements:

    • It must be signed and dated by all directors;

    • It must state that it is a directors’ resolution;

    • It must contain the business’s full name and registration number;

    • It must contain the full name, ID number, residential address and contact particulars (phone number and email address) of the Authorised Official(s); and,

    • It must clearly state the specific authority delegated to the Authorised Official(s);

    The resolution must also contain the following provisions:

    “The Luno business account, including any Luno products or services related to the account, will not be operated by any person that is resident (whether permanently or temporarily) in the United States or its territories, nor shall the account be managed, directed, or controlled by any U.S Person, such as a corporation or partnership organised or incorporated under the laws of the United States nor any trust, of which any trustee is resident (whether permanently or temporarily) in the United States or its territories.”

    “It is confirmed that no coalitions or agreements exist whereby such a group or coalition of beneficial owners jointly hold the controlling ownership interest control over the company other than those confirmed to Luno. In the event coalition or agreements exist whereby such a group or coalition of beneficial owners jointly hold the controlling ownership interest control over the company the entity will inform Luno.”

  4. A signed ownership chart or recently issued CIPC Documentation confirming all Shareholders and their respective shareholding, indicated by percentage (%), in the business. For each natural person holding 5% or more effective shareholding in the business (directly or indirectly through the chain of ownership), the document must include: i) the full name(s), ii) the percentage of shareholding, and iii) confirmation of residential address. In addition, kindly note the following:

    • If any of the abovementioned shareholders is not a natural person, the ownership of that shareholder must be disclosed to identify all natural persons with significant control, i.e. natural persons with 5% or more effective ownership or control of the business;

    • The list must be signed and dated by all directors; and

    • In the event that a Trust also has an interest in the business, we will require the stamped Trust Deed as well as the Letter of Authority which has been issued by the Master of the High Court. We will in this case also require i) proof of identity, and ii) confirmation of address for all beneficiaries, trustees, and the founder of the trust. Additional documents may be required for any further non-natural persons found within the ownership structure.

  5. A clear, colour copy of the official government-issued identity document for every Authorised Official and Shareholder with 5% or more effective ownership or control of the business. Read more about acceptable identity documents here.

  1. A detailed overview as to the nature of the business you're applying for with specific reference to the nature of the activity conducted by the business in order to generate revenue.

  2. If the business’s operating address is different from its registered address, confirm the operating address of the business.

    • It must contain the business’s full name and registration number;
    • It must contain the full name, ID number and contact particulars (phone number and email address) of the Authorised Official(s); and,
    • It must clearly state the specific authority delegated to the Authorised Official(s);

    The resolution must also contain the following provision:

    “The Luno business account, including any Luno products or services related to the account, will not be operated by any person that is resident (whether permanently or temporarily) in the United States or its territories, nor shall the account be managed, directed, or controlled by any U.S Person, such as a corporation or partnership organised or incorporated under the laws of the United States nor any trust, of which any trustee is resident (whether permanently or temporarily) in the United States or its territories.”

    “It is confirmed that no coalitions or agreements exist whereby such a group or coalition of beneficial owners jointly hold the controlling ownership interest control over the company other than those confirmed to Luno. In the event coalition or agreements exist whereby such a group or coalition of beneficial owners jointly hold the controlling ownership interest control over the company the entity will inform Luno.”

  4. A Signed List or recently issued CIPC Document confirming all Members and their respective ownership, indicated by percentage (%), in the business. For each natural person holding 5% or more effective ownership in the business, the list must include: i) the full name(s), ii) the percentage of ownership, iii) confirmation of residential address, and iv) contact particulars (phone number and email address).

  5. A clear, colour copy of the official government-issued identity document for every Authorised Official and Member with 5% or more effective ownership or control of the business. Read more about acceptable identity documents here.

  1. A detailed overview of the nature of the business you're applying for with specific reference to the nature of the activity conducted by the business in order to generate revenue.

  2. Proof of trading name (website or letterhead with logo).

  3. Proof of income tax number (Document issued by SARS)

  4. A clear, colour copy of the official government-issued identity document of the sole owner. Read more about acceptable identity documents here.

  5. Confirmation of the operating address of the Sole-Proprietorship.

  6. Confirmation of the residential address, phone number and email address of the Sole Proprietor.

  1. A detailed overview of the nature of the business you're applying for with specific reference to the nature of the activity conducted by the business in order to generate revenue.

  2. Signed and dated partnership agreement.

  3. Confirmation of the Operating Address of the Partnership.

  4. A resolution signed by the partners naming an individual person(s), and giving said person(s) authority to act on behalf of the Partnership and operate the Luno account (the Authorised Official(s)). Kindly note that the resolution should adhere to the following requirements:

    • It must be signed and dated by all partners;

    • It must state that it is a partners resolution;

    • It must contain the Partnership’s full name;

    • It must contain the full name(s), ID number(s), residential address and contact details (email address and phone number) of the Authorised Official(s); and,

    • It must clearly state the specific authority delegated to the Authorised Official(s);

    The resolution must also contain the following provisions:

    “The Luno business account, including any Luno products or services related to the account, will not be operated by any person that is resident (whether permanently or temporarily) in the United States or its territories, nor shall the account be managed, directed or controlled by any U.S Person, such as a corporation or partnership organised or incorporated under the laws of the United States nor any trust, of which any trustee is resident (whether permanently or temporarily) in the United States or its territories.”

For each natural person holding 5% or more effective ownership in the business, the document must include: i) the full name(s), ii) the percentage of ownership, and iii) confirmation of residential address. The list must be signed and dated by a minimum of two partners.

  6. A clear, colour copy of the official government-issued identity document for all partners and Authorised Official(s). Read more about acceptable identity documents here.

  1. A detailed overview of the nature of the Trust you're applying for with specific reference to the nature of the activity conducted by the Trust in order to generate revenue.

  2. A copy of the signed trust deed or founding document.

  3. A copy of the Letter of Authority issued by the Master of the High Court in terms of Section 7 of the Trust Property Control Act 1988, for each trustee to act in such capacity.

  4. A signed list confirming the Founder, Trustees, and Named Beneficiaries of the Trust. For each of the named persons, the list must include: i) the full name(s), ii) the position held (e.g. Founder, Trustee or Beneficiary), and iii) confirmation of residential address.

  5. A resolution signed by the trustee(s) naming an individual person(s) and giving said person(s) authority to act on behalf of the business and operate the Luno account (the Authorised Official(s)). Kindly note that the resolution should adhere to the following requirements:

    • It must be signed and dated by all trustees (sole trustees need only provide written confirmation that they are the only person authorised to act on behalf of the Trust);

    • It must state that it is a trustees’ resolution;

    • It must contain the trust’s full name and registration number;

    • It must contain the full name, ID number or date of birth, residential address and contact particulars (phone number and email address) of the Authorised Official(s); and,

    • It must clearly state the specific authority delegated to the Authorised Official(s);

    The resolution must also contain the following provision:

    “The Luno business account, including any Luno products or services related to the account, will not be operated by any person that is resident (whether permanently or temporarily) in the United States or its territories, nor shall the account be managed, directed, or controlled by any U.S Person, such as a corporation or partnership organised or incorporated under the laws of the United States nor any trust, of which any trustee is resident (whether permanently or temporarily) in the United States or its territories.

  6. A clear, colour copy of the official government-issued identity document of every Trustee, Founder, Named Beneficiary and Authorised Official of the Trust. Read more about acceptable identity documents here.

Where one of the persons mentioned above is a company we would require:

  • Confirmation as to the natural person authorised to act on behalf of the business, along with colour copy of ID and confirmation of Address; and

  • A signed and dated confirmation of shareholding, reflecting all natural persons holding 5% or more, direct or indirect, shareholding in the entity. In the event another entity or trust falls within the structure, additional items may be required; and

  • We will require a colour copy of ID and confirmation of address for each natural person identified as per the above.

 

Malaysia

  1. Kindly confirm if the company has a website. If so, please provide us with the URL address. Please also provide a brief overview of the nature of the business you're applying for with specific reference to the nature of the activity conducted by the business to generate revenue.

  2. Certified true/duly notarised copies of the following documentation:

    • Certificate of Incorporation/Registration and the Memorandum,

    • Notice of Registration by Companies Commission of Malaysia,

    • The latest Form 49 – Particulars of Directors, if available,

    • The latest Form 24 – Return of Allotment of Shares, if available, and

    • Company Constitution, if available.

  3. Please provide the latest Corporate Profile (extracted from Companies Commission Malaysia (SSM) and the Section 14 - Application for Registration, if available.

  4. Signed ownership chart reflecting information on all individuals holding 5% or more shares in the company. The chart must include: i) the full name(s), ii) the percentage of shareholding, iii) contact particulars (phone number and email address), and iv) residential and mailing address.

  5. A formal board resolution signed by the director(s) naming an individual person(s) and giving said person(s) authority to act on behalf of the business and operate the Luno account (the Authorised Official(s)). Kindly note that the resolution should adhere to the following requirements:

    • It must be signed and dated by all directors;
    • It must state that it is a directors’ resolution;
    • It must contain the business’s full name and registration number;
    • It must have the full name and ID number of the Authorised Official(s); and,
    • It must clearly state the specific authority delegated to the Authorised Official(s);

    The resolution must also contain the following provisions:

    “The Luno business account, including any Luno products or services related to the account, will not be operated by any person that is resident (whether permanently or temporarily) in the United States or its territories, nor shall the account be managed, directed or controlled by any U.S Person, such as a corporation or partnership organised or incorporated under the laws of the United States nor any trust, of which any trustee is resident (whether permanently or temporarily) in the United States or its territories.”

    “We confirm that the identity of any person that has effective control or influence of the company is contained in the constituent documents, or has otherwise been disclosed to Luno during the application process.”

    “The Luno business account will not be operated, managed, directed or controlled by any person or any beneficial owner of the person who is/are bearer share entity(ies) or who can issue or hold bearer shares.”

  6. Recent utility bill reflecting the business’s operating address, if different to the registered address.

  7. Please provide a signed list naming all Authorised Officials and Directors, including their:
    • identification number, and

    • contact particulars (phone number and email address), and

    • residential and mailing address

  8. A certified true copy government-issued, clear, colour ID card (both sides) for all of the following persons:
    • Individuals with direct or indirect shareholding of at least 25% of the entity & intermediary beneficial owners (intermediary beneficial owners are usually the parent company and corporate shareholders), where relevant.

    • Authorised signatories / authorised persons, where relevant.

    • Note: If the ID document does not reflect residential/mailing address, please provide a proof of address containing at least the full name and the residential address. All documents provided as a proof of address must be recent, issued within the last 3 months. Read more about acceptable proof of residence documents here.

  9. Bank account confirmation letter issued to the business reflecting the business’s name and registration number. Alternatively, kindly confirm which registration number (new or old) was used to open the Business’s bank account.
  1. Kindly confirm if the company has a website. If so, please provide us with the URL address. Please also provide a brief overview of the nature of the business you're applying for with specific reference to the nature of the activity conducted by the business to generate revenue.

  2. A certified true/duly notarised copy of the following documents:

    • Latest Business Registration Form D; or

    • Business Registration Information Form; or

    • Other business registration issued by local councils.

  3. Recent utility bill reflecting the business’s operating address, if different to the registered address.

  4. A formal confirmation of authority/mandate, signed by the appropriate persons, that adheres to the following requirements:

    • It must be signed and dated by the sole proprietor;
    • It must state that it is a formal confirmation of authority or mandate;
    • It must contain the business’s full name and registration number;
    • It must have the full name and ID number of the Authorised Official(s); and,
    • It must clearly state the specific authority delegated to the Authorised Official(s);

    The confirmation of authority/mandate must also contain the following provisions:

    “The Luno business account, including any Luno products or services related to the account, will not be operated by any person that is resident (whether permanently or temporarily) in the United States or its territories, nor shall the account be managed, directed or controlled by any U.S Person, such as a corporation or partnership organised or incorporated under the laws of the United States nor any trust, of which any trustee is resident (whether permanently or temporarily) in the United States or its territories.”

    “We confirm that the identity of any person that has effective control or influence of the company is contained in the constituent documents, or has otherwise been disclosed to Luno during the application process.”

    “The Luno business account will not be operated, managed, directed or controlled by any person or any beneficial owner of the person who is/are bearer share entity(ies) or who can issue or hold bearer shares.”

  5. A certified true copy of the government-issued clear, colour ID card (both sides) for all of the following persons:

    • Sole Proprietor

    • Authorised Officials, where relevant.

  6. A signed list confirming the below information for each Authorised Official and the Sole Proprietor:

    • Residential and Mailing Address
    • Phone Number and Email Address
  7. Bank account confirmation letter issued to the business reflecting the business’s name and registration number. Alternatively, kindly confirm which registration number (new or old) was used to open the Business’s bank account.

  1. Kindly confirm if the Partnership has a website. If so, please provide us with the URL address. Please also provide a brief overview of the nature of the business you're applying for with specific reference to the nature of the activity conducted by the business to generate revenue.

  2. A certified true/duly notarised copy of the following documents:

    • Latest Business Registration Form D; and
    • Business Registration Information Form.
  3. If the Business’s operating address is different to the registered address, a recent utility bill reflecting the business’s address.

  4. A formal Partnership Mandate relating to the opening and ongoing operation of the Luno account, that adheres to the following requirements:

    • It must be signed and dated by all Partners;
    • It must state that it is a formal Partnership Mandate;
    • It must contain the Partnership’s full name and registration number;
    • It must have the full name and ID number of all Authorised Official(s); and,
    • It must clearly state the specific authority delegated to the Authorised Official(s), in relation to the opening and ongoing operation of the Luno account;

    The mandate must also contain the following provisions:

    “The Luno business account, including any Luno products or services related to the account, will not be operated by any person that is resident (whether permanently or temporarily) in the United States or its territories, nor shall the account be managed, directed or controlled by any U.S Person, such as a corporation or partnership organised or incorporated under the laws of the United States nor any trust, of which any trustee is resident (whether permanently or temporarily) in the United States or its territories.”

    “We confirm that the identity of any person that has effective control or influence of the company is contained in the constituent documents, or has otherwise been disclosed to Luno during the application process.”

    • Residential and Mailing Address, and

  6. A certified true copy of the government-issued, clear, colour ID card (both sides) for all Partners and Authorised Officials.
  7. Bank account confirmation letter issued to the Partnership reflecting the Partnership’s name and registration number. Alternatively, kindly confirm which registration number (new or old) was used to open the Partnership’s bank account.
  1. Kindly confirm if the Trust has a website. If so, please provide us with the URL address. Please also provide a brief overview of the nature of the business you're applying for with specific reference to the nature of the activity conducted by the business to generate revenue.
  2. A certified true copy of the Trust deed.
  3. A certified true copy of the Trust registration document.

  4. A formal Trustee resolution, signed by the trustees, naming an individual person(s) and giving said person(s) authority to act on behalf of the Trust in relation to the Luno Business account. The resolution must adhere to the following requirements:

    • It must be signed and dated by all trustees;
    • It must state that it is a trustees resolution or;
    • It must contain the trusts full name and identifying number;
    • It must reflect the full name and ID number of the Authorised Official(s); and,
    • It must clearly state the specific authority delegated to the Authorised Official(s);

    The resolution must also contain the following provisions:

    “The Luno business account, including any Luno products or services related to the account, will not be operated by any person that is resident (whether permanently or temporarily) in the United States or its territories, nor shall the account be managed, directed or controlled by any U.S Person, such as a corporation or partnership organised or incorporated under the laws of the United States nor any trust, of which any trustee is resident (whether permanently or temporarily) in the United States or its territories.”

    “We confirm that the identity of any person that has effective control or influence of the company is contained in the constituent documents, or has otherwise been disclosed to Luno during the application process.”

    “The Luno business account will not be operated, managed, directed or controlled by any person or any beneficial owner of the person who is/are bearer share entity(ies) or who can issue or hold bearer shares.”

  5. A certified true copy of the government-issued, colour ID card for each of the following persons:

    • Authorised Officials, and
    • Trust Protectors, if any.
  6. A signed list confirming all of the below information for each of the following persons; Founder/Settlor, Trustees, Named Beneficiaries, and Trust Protectors, if any:

    • Residential and Mailing Address, and
    • Contact Number and Email Address.
  7. Bank account confirmation letter issued to the Trust reflecting the Trust’s name and registration number. Alternatively, kindly confirm which registration number (new or old) was used to open the Trust’s bank account.
  1. Kindly confirm if the company has a website. If so, please provide us with the URL address. Please also provide a brief overview of the nature of the business you're applying for with specific reference to the nature of the activity conducted by the business to generate revenue.

  2. A certified true copy of the Notice of Registration from the Registrar of LLP.

  3. A certified true copy of the LLP Agreement.

  4. Latest Corporate Profile (extracted from Companies Commission Malaysia).

  5. If the Business’s operating address is different to the registered address, a recent utility bill reflecting the business’s address.

  6. LLP Mandate Form for the opening and ongoing operation of a Luno account, including the list of authorised officials, that adheres to the following requirements:

    • It must be signed and dated by all partners;
    • It must state that it is a formal partners’ mandate;
    • It must contain the partnership’s full name and registration number;
    • It must have the full name and ID number of the Authorised Official(s); and,
    • It must clearly state the specific authority delegated to the Authorised Official(s), in relation to the opening and ongoing operation of the Luno account;

    The mandate must also contain the following provisions:

    “The Luno business account, including any Luno products or services related to the account, will not be operated by any person that is resident (whether permanently or temporarily) in the United States or its territories, nor shall the account be managed, directed or controlled by any U.S Person, such as a corporation or partnership organised or incorporated under the laws of the United States nor any trust, of which any trustee is resident (whether permanently or temporarily) in the United States or its territories.”

    “We confirm that the identity of any person that has effective control or influence of the company is contained in the constituent documents, or has otherwise been disclosed to Luno during the application process.”

    “The Luno business account will not be operated, managed, directed or controlled by any person or any beneficial owner of the person who is/are bearer share entity(ies) or who can issue or hold bearer shares."

  7. A certified true copy of the government-issued clear, colour ID card for all of the following persons:

    • Partners, and
    • Authorised Officials.
  8. A signed document confirming all of the below information for each of the Partners and Authorised Persons:

    • Residential and Mailing Address, and
    • Contact number and email address.
  9. Bank account confirmation letter issued to the Partnership reflecting the Partnership’s name and registration number. Alternatively, kindly confirm which registration number (new or old) was used to open the Business’s bank account.

 

Nigeria

  1. A detailed overview of the nature of the business you're applying for with specific reference to the nature of the activity conducted by the business in order to generate revenue.
  2. Certificate of Incorporation and the Memorandum and Articles of Association.

  3. Extract of the Beneficial Ownership Register.

  4. Proof of Tax Identification Number (if not evidenced on Certificate of Incorporation issued by CAC).

  5. A resolution signed by the Director(s) naming an individual person(s) and giving said person(s) authority to act on behalf of the business and operate the Luno account (the Authorised Official(s)). Kindly note that the resolution should adhere to the following requirements:

    • It must be signed and dated by all directors;

    • It must state that it is a directors’ resolution;

    • It must contain the business’s full name and registration number;

    • It must reflect the full name and ID number or date of Birth and contact particulars (phone number and email address) of the Authorised Official(s); and,

    • It must clearly state the specific authority delegated to the Authorised Official(s);

    The resolution must also contain the following provision:

    “The Luno business account, including any Luno products or services related to the account, will not be operated by any person that is resident (whether permanently or temporarily) in the United States or its territories, nor shall the account be managed, directed, or controlled by any U.S Person, such as a corporation or partnership organised or incorporated under the laws of the United States nor any trust, of which any trustee is resident (whether permanently or temporarily) in the United States or its territories.”

  6. A signed list confirming all Shareholders with 5% or more effective shareholding in the business. For each appropriate natural person, the list must include: i) the full name(s), ii) the percentage of shareholding, and iii) contact particulars (phone number and email address). In addition, kindly note the following:

    • If any of the abovementioned shareholders is not a natural person, the ownership of that shareholder must be disclosed to identify all natural persons with 5% or more effective ownership or control of the business;

    • The list must be signed and dated by a minimum of two directors (except in the case of a sole directorship, signed by the sole director);

    • Note: If legal persons or arrangements are found within the structure, additional items may be required.

  7. A clear, colour copy of the official government-issued identity document of every Authorised Official and Shareholder (natural person) with 5% or more effective ownership or control of the business. Read more about acceptable identity documents here.

  8. A proof of address for every Authorised Official and Shareholder with 5% or more effective ownership or control of the business. The proof of address must be in their own name and not more than three months old. Read more about acceptable proof of residence documents here.

  9. Kindly provide a recently issued document reflecting the business’s operating address, for example bank statement, utility bill, etc.

  1. A detailed overview of the nature of the Partnership you're applying for with specific reference to the nature of the activity conducted by the Partnership in order to generate revenue.
  2. Certificate of Registration issued by CAC.

  3. Proof of Tax Identification Number (if not evidenced on Certificate of Registration issued by CAC).

  4. Formal Confirmation of Authority, naming an individual person(s) and giving said person(s) authority to act on behalf of the partnership and operate the Luno account (the Authorised Official(s)). Kindly note that the Confirmation of Authority should adhere to the following requirements:

    • It must be signed and dated by all partners;

    • It must state that it is a partners’ mandate or confirmation of authority;

    • It must contain the partnership’s full name and registration number;

    • It must reflect the full name and ID number or date of birth, and contact particulars (phone number and email address) of the Authorised Official(s); and,

    • It must clearly state the specific authority delegated to the Authorised Official(s);

    The confirmation must also contain the following provision:

    “The Luno business account, including any Luno products or services related to the account, will not be operated by any person that is resident (whether permanently or temporarily) in the United States or its territories, nor shall the account be managed, directed, or controlled by any U.S Person, such as a corporation or partnership organised or incorporated under the laws of the United States nor any trust, of which any trustee is resident (whether permanently or temporarily) in the United States or its territories.”

  5. A signed list confirming all Partners to the Partnership. For each person, the list must include: i) the full name(s), ii) ID number or date of birth, and iii) contact particulars (phone number and email address). Kindly note that the list must be signed and dated by a minimum of two Partners.

  6. A clear, colour copy of the official government-issued identity document of every Partner and Authorised Official. Read more about acceptable identity documents here.

  7. A proof of address for every Partner in the Partnership and the Authorised Official(s). The proof of address must be in their own name and not more than three months old. Read more about acceptable proof of residence documents here.

  8. The most recent bank-issued statement of account clearly showing the partnership’s name, address and date of issue of the documents.

  9. A proof of address for the Partnership itself. Acceptable documents include a Utility Bill or Tax Assessment (not older than 3 months).

  1. A detailed overview of the nature of the business you're applying for with specific reference to the nature of the activity conducted by the business in order to generate revenue.
  2. Certificate of Registration issued by CAC.

  3. Proof of Tax Identification Number (if not evidenced on Certificate of Registration issued by CAC).
