Business account application requirements in Kenya

Legal Person requirements

1. Nature of business (and website)

What we need: A description of what your business does and how it generates revenue. If the company has a website, please also provide the URL.

2. Company registration documents

What we need: Certified true copies of any of the following documentation (not older than 3 months):

  • Certificate of Registration; or
  • Certificate of Incorporation; or
  • Memorandum and Articles of Association; or
  • Other similar documentation evidencing the legal status of the legal person

3. Beneficial Ownership Register

What we need: A signed and dated Beneficial Ownership Register confirming all shareholders and their respective shareholding, indicated by percentage (%), in the business.

Detailed requirements:

For each natural person holding 10% or more effective shareholding in the business (directly or indirectly through the chain of ownership), the document must include: i) full name, ii) percentage of shareholding, and iii) confirmation of residential address.

4. Resolution

What we need: A certified formal board resolution signed by the directors that confirms which individuals have authority to act on behalf of the business and operate the Luno account. These individuals are known as the Authorised Officials.

Detailed requirements:

The resolution must:

  • Be signed and dated by all directors;
  • State it is a directors' resolution;
  • Contain the business's full name and registration number;
  • Contain the full name, ID number, residential and mailing address, and contact details (phone number and email address) of all the Authorised Officials;
  • Clearly state the specific authority delegated to the Authorised Officials; and
  • Contain the provisions quoted below

"The Luno business account, including any Luno products or services related to the account, will not be operated by any person that is resident (whether permanently or temporarily) in the United States or its territories, nor shall the account be managed, directed or controlled by any U.S Person, such as a corporation or partnership organised or incorporated under the laws of the United States nor any trust, of which any trustee is resident (whether permanently or temporarily) in the United States or its territories."

"It is confirmed that no coalitions or agreements exist whereby such a group or coalition of beneficial owners jointly hold the controlling ownership interest control over the company other than those confirmed to Luno. In the event coalition or agreements exist whereby such a group or coalition of beneficial owners jointly hold the controlling ownership interest control over the company the entity will inform Luno."

5. Audited Financial Statements

What we need: The most recent Audited Financial Statements issued to the business.

6. Director residential addresses

What we need: Confirmation of residential address for all the Directors of the business.

7. Proof of identity

What we need: A clear, colour copy of the official government-issued identity document for every Authorised Official, Director, and Shareholder with 10% or more effective ownership or control of the business.

8. Corporate shareholders

What we need: Should any legal persons be a shareholder of the business, kindly provide a certified true copy of said person's Certificate of Incorporation/Registration. Additionally, kindly confirm said person's operating address.

Trust requirements

1. Nature of business (and website)

What we need: A description of what the Trust does and how it generates revenue. If the Trust has a website, please also provide the URL.

2. Trust Deed and Letters of Authority

What we need: Copies of the Trust Deed and Letters of Authority issued to the Trust.

3. Annual return

What we need: The most recent annual return issued to the Trust.

4. Resolution

What we need: A trustee resolution signed by the trustees that confirms which individuals have authority to act on behalf of the Trust and operate the Luno account. These individuals are known as the Authorised Officials.

  • State it is a trustees' resolution;
  • Contain the Trust's full name and registration number;
  • Contain the full name, ID number, residential and mailing address, and contact details (phone number and email address) of all the Authorised Officials;
  • Clearly state the specific authority delegated to the Authorised Officials; and
  • Contain the provisions quoted below

Partnership requirements

1. Nature of business (and website)

What we need: A description of what the Partnership does and how it generates revenue. If the Partnership has a website, please also provide the URL.

2. Registration document / Partnership Deed

What we need: A signed and dated Registration document and/or Partnership Deed.

3. Annual return

What we need: The most recent annual return issued to the Partnership.

4. Beneficial Ownership Register

What we need: A signed and dated Beneficial Ownership Register confirming all Partners and their respective ownership of the Partnership, indicated by percentage (%).
